Terms and Conditions

These Terms and Conditions (“Terms”) govern access to and use of the ReceiptSnap mobile application and any related services provided by Propel Software INC. (“Propel,” “we,” “us,” “our,” or the “Company”).

By downloading, registering for, accessing, or using ReceiptSnap, you agree to these Terms. If you do not agree, you must not use the app.

1. Who we are and what the app is

ReceiptSnap is a digital tool designed to help you store, organize, and review receipts and purchases. Depending on the features available at any given time, the app may allow you to:

• scan or upload receipts from your camera, images, or PDF files;
• extract receipt information using OCR, artificial intelligence, or other automated technologies;
• manually review and correct data before saving it;
• track relevant dates, such as return periods or warranties;
• receive alerts, reminders, or notifications;
• organize purchases using system or custom categories;
• search, filter, and export information, including CSV exports;
• access summaries or simple insights about your purchases;
• sync information through an account.

ReceiptSnap is a personal organization tool. It is not a banking, accounting, tax, legal, audit, or official warranty/returns platform.

2. Minimum age and eligibility

ReceiptSnap is available only to individuals who are 18 years of age or older.

By using the app, you represent that:

• you are at least 18 years old;
• you have the legal capacity to accept these Terms;
• you will use the app in compliance with applicable law.

3. Account and access

To use the app, you must create an account or sign in through one of the available methods.

You are responsible for keeping your credentials secure, restricting access to your device, and reviewing the information you save in the app. You are also responsible for activity carried out through your account, unless applicable law provides otherwise.

If you detect or suspect unauthorized access, you must contact us immediately at [email protected].

We may reject registrations, restrict access, or request reasonable verification where necessary for security, fraud prevention, or legal compliance.

4. Your content

The app may allow you to upload, store, organize, and process content such as receipts, images, PDFs, merchant names, dates, amounts, currencies, categories, return status, warranty information, and other purchase-related data.

You retain any rights you may have in the content you upload. However, by using the app, you grant us a limited, non-exclusive license necessary to host, process, technically copy, organize, display, and transmit that content solely to operate, maintain, and provide ReceiptSnap.

Processing your content may involve the use of third-party services, including artificial intelligence and optical character recognition (OCR) technologies, to extract and suggest information from the receipts you upload. By using the app, you authorize this processing. For more details on how we handle your information, please refer to our Privacy Policy.

You represent that you have the right to upload that content and that it does not infringe third-party rights or violate the law.

5. License to use the app and prohibited uses

We grant you a limited, personal, non-exclusive, revocable, non-sublicensable, and non-transferable license to use ReceiptSnap only for personal, lawful purposes and in accordance with these Terms.

You do not acquire any ownership rights in the app, its software, design, branding, text, features, or related elements.

You may not use ReceiptSnap to:

• commit or facilitate fraud;
• falsify information for deceptive or unlawful purposes;
• hack, breach, scan, test, or interfere with the security of the app;
• gain unauthorized access to accounts, data, systems, or infrastructure;
• use robots, scrapers, or unauthorized automation;
• copy, reproduce, decompile, disassemble, or reverse engineer the app, except where expressly permitted by law;
• build a competing product or replicate its functionality;
• disrupt the normal operation of the app or third parties;
• upload unlawful, deceptive, or rights-violating content.

We may also block abusive, unusual, or technically risky uses even if they are not specifically listed above.

6. OCR, artificial intelligence, and accuracy of information

ReceiptSnap may use OCR, artificial intelligence, or other automated tools to suggest data such as merchant, date, amount, currency, or category.

You expressly acknowledge and agree that:

• suggested information may contain errors, omissions, or incorrect interpretations;
• we do not guarantee the accuracy, completeness, timeliness, or full reliability of extracted data;
• you are solely responsible for reviewing, correcting, validating, and confirming information before saving, exporting, or using it;
• we are not responsible for decisions, losses, rejections, claims, or damages resulting from automatically extracted or suggested information.

The app helps organize information. It does not certify the authenticity, accuracy, or legal validity of any receipt or data.

7. Reminders, returns, warranties, and informational use

ReceiptSnap may help you track return deadlines, warranty dates, and related reminders. These reminders are for convenience only.

We do not guarantee that:

• an alert will always be delivered, delivered on time, or delivered without errors;
• a return, exchange, claim, or warranty is still valid;
• any merchant, manufacturer, bank, insurer, employer, auditor, platform, or authority will accept the information stored in the app as sufficient proof.

It is your responsibility to verify directly with the relevant store, seller, manufacturer, or third party the conditions applicable to any purchase, return, or warranty.

The app also does not provide legal, accounting, tax, financial, audit, compliance, insurance, or consumer protection advice. The information displayed, exported, or organized by the app, including summaries or insights, is for informational and personal support purposes only.

8. Plans, subscriptions, and payments

ReceiptSnap offers limited initial access at no cost, allowing you to save a set number of purchases. Once that limit is reached, you will not be able to save new purchases, but you will continue to have access to your existing purchases, including their receipts, alerts, and all associated information.

To access all app features without quantity restrictions, a paid subscription plan is required.

The app may offer:

• a monthly plan;
• an annual plan;
• a lifetime plan;
• promotions, trials, or special access in certain cases.

Monthly and annual subscriptions automatically renew unless you turn off auto-renewal at least 24 hours before the end of the current period. Renewal charges will be applied within 24 hours before the end of the current period, at the price of the subscribed plan. You can manage your subscriptions and turn off auto-renewal from your account settings in the App Store or Google Play.

You acknowledge and agree that:

• billing may also be subject to third-party terms and policies;
• automatic renewal, cancellation, and refunds may depend on the rules of the applicable platform;
• we do not guarantee refunds except where required by law or by the applicable platform.

We may offer promotions, trials, discounts, codes, or temporary benefits, subject to specific conditions, time limits, eligibility requirements, or revocation. We may also change, on a forward-looking basis and to the extent permitted by law, prices, benefits, features, usage limits, or the app’s business model.

9. Apple App Store and Google Play

If you downloaded ReceiptSnap from the Apple App Store or Google Play, the rules and conditions of those platforms may also apply.

If there is a conflict between these Terms and a mandatory provision of the platform from which you downloaded the app, the mandatory platform provision will prevail to the extent applicable.

Nothing in these Terms limits any mandatory rights you may have against the store or platform through which you obtained the app or a subscription.

10. Third-party services

ReceiptSnap may depend on or integrate with third-party services for authentication, storage, infrastructure, analytics, payments, notifications, and other technical processes.

To the maximum extent permitted by law, we are not responsible for downtime, unavailability, errors, policy or system changes, loss of information caused by third parties, or billing, refund, or payment decisions made by external platforms.

Your use of those services may also be subject to their own terms and policies.

11. Exports, availability, data loss, and account deletion

The app may offer exports, purchase history, filters, summaries, monthly views, or simple insights to help you organize your information. We do not guarantee that those files, reports, or visualizations:

• will be error-free;
• will reflect all information relevant for a particular purpose;
• will be accepted by third parties as proof, backup, tax documentation, or sufficient evidence;
• will satisfy accounting, legal, tax, or commercial requirements.

We make reasonable efforts to keep ReceiptSnap functioning properly, but we do not guarantee uninterrupted availability, absence of errors, compatibility with all devices, or that all current features will remain available forever. We may perform maintenance, updates, modifications, pauses, or partial or total discontinuations of the service.

We also do not guarantee that stored data, files, or receipts will never be lost, damaged, altered, corrupted, or deleted. Unless the law provides otherwise, we are not responsible for loss of content and do not guarantee restoration of deleted information. It is your responsibility to export or keep copies of any information you consider important.

You may delete your account through the options available in the app or request deletion by contacting [email protected]. When you delete your account, we may also delete your receipts, purchases, files, and other associated information, except where we must retain certain data for legal, regulatory, tax, fraud prevention, security, dispute resolution, or compliance purposes. Deletion may be irreversible.

12. Suspension or account termination

We may suspend, restrict, or terminate your account, with or without prior notice, if we reasonably determine that:

• you breached these Terms;
• you used the app in a fraudulent, unlawful, or deceptive manner;
• you attempted to compromise the app’s security;
• you put other users, the Company, or third parties at risk;
• you abused promotions, payments, subscriptions, or features;
• you created legal, regulatory, reputational, or technical exposure for the Company;
• it was necessary due to a court order, legal request, or regulatory requirement;
• continuing to provide access is no longer commercially or technically viable.

Suspension or termination does not automatically eliminate prior obligations or create an automatic right to a refund.

13. Intellectual property and feedback

ReceiptSnap, including its software, design, structure, interface, name, trademarks, logos, text, graphics, compilations, features, and documentation, belongs to Propel Software INC. or is used under license.

You may not use our trademarks, branding, or materials without prior written authorization.

If you send us ideas, suggestions, improvements, comments, or feedback about the app, we may use them freely to improve the service, without any obligation to compensate you, credit you, or keep such suggestions confidential, unless we expressly agree otherwise in writing.

14. Disclaimer of warranties and limitation of liability

To the maximum extent permitted by law, ReceiptSnap is provided “as is” and “as available,” without express or implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, continuous availability, accuracy, reliability, or suitability for a specific result.

We do not guarantee that:

• the app will prevent economic loss;
• the app will stop a return or warranty from expiring;
• AI will correctly read every receipt;
• reminders will always work;
• exported data will be suitable for tax, accounting, or legal purposes;
• a merchant or manufacturer will accept the information stored in the app as sufficient proof.

To the maximum extent permitted by law, Propel Software INC., its directors, employees, affiliates, contractors, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, reputation, information, opportunities, or expected savings, arising out of or related to the use of or inability to use the app, errors in extracted, displayed, exported, or stored data, reminder or notification failures, data loss or corruption, decisions made by the user or third parties, rejection of returns or warranties, unauthorized access, or failures of third parties or external platforms.

To the maximum extent permitted by law, the total cumulative liability of Propel Software INC. for any claim related to ReceiptSnap will not exceed the amount actually paid by you to the Company for use of the app during the 12 months preceding the event giving rise to the claim, or USD 50, whichever is greater.

Some jurisdictions do not allow certain exclusions or limitations, so part of this clause may not apply to you.

15. Indemnification and force majeure

You agree to defend, indemnify, and hold harmless Propel Software INC. and its affiliates, directors, employees, contractors, and providers from and against claims, actions, losses, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of:

• your use of ReceiptSnap;
• your breach of these Terms;
• the content you upload;
• your violation of law or third-party rights;
• any dispute between you and a merchant, manufacturer, bank, insurer, employer, or third party related to information stored, displayed, or exported by the app.

We will not be responsible for delays, failures, or non-performance caused by events beyond our reasonable control, including internet failures, provider outages, cyberattacks, power outages, natural disasters, labor disputes, government acts, pandemics, or similar events.

16. Governing law and final provisions

These Terms will be governed by and interpreted in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles.

Binding arbitration

You and Propel Software INC. agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of ReceiptSnap will be resolved exclusively through individual binding arbitration, and not through lawsuits, jury trials, or class actions.

The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules in effect at the time the claim is filed.

The arbitration will take place in Miami-Dade County, Florida, as permitted by AAA rules.

Small claims court exception

Notwithstanding the above, either party may bring an individual action in a small claims court of competent jurisdiction in Miami-Dade County, Florida, provided the dispute qualifies under that court's rules.

Class action waiver

You agree that any dispute will be resolved solely on an individual basis. You waive the right to participate as a party or class member in any class action, representative action, consolidated action, or class-wide arbitration. The arbitrator may not consolidate claims from more than one person or preside over any type of class proceeding.

If this class action waiver is found unenforceable in your jurisdiction, then this entire arbitration section will be deemed void and disputes will be resolved in the competent courts located in Florida, United States.

Final provisions

We may assign, transfer, or reorganize these Terms and/or our rights and obligations in connection with a merger, acquisition, sale of assets, corporate reorganization, or any other legitimate business reason. You may not assign your rights or obligations without our prior written consent.

We may update or modify these Terms at any time. When we do, we will notify you within the app or by other reasonable means. Continued use of ReceiptSnap after the updated Terms take effect means you accept the updated Terms, unless the law requires a different method.

These Terms, together with our Privacy Policy and any additional conditions validly provided within the app, constitute the entire agreement between you and Propel Software INC. regarding the use of ReceiptSnap.
